By accessing or using Keicho, you agree to be bound by these Terms.

1. About Keicho
Keicho is a payroll, workforce management, scheduling, and job costing software platform designed for business and enterprise use.
Keicho provides software services only. Keicho does not act as an employer, payroll agent, tax advisor, or legal advisor.
2. Eligibility
You must be at least 18 years old to use the Services.
If you are using Keicho on behalf of a business or organisation, you confirm that you have authority to bind that entity to these Terms.
3. Account Registration
To access certain features, you may be required to create an account.
You agree to:
Provide accurate and complete information
Maintain the confidentiality of your login credentials
Notify us immediately of any unauthorised use
Accept responsibility for activities conducted under your account
We reserve the right to suspend or terminate accounts that violate these Terms.
4. Employer-Controlled Data Model
If you are an employee user:
Your employer controls your access
Your employer controls employment-related data
Your employer determines payroll calculations and approvals
Keicho processes employment data on behalf of your employer.
Keicho is not responsible for:
Employer payroll decisions
Award interpretation
Allowance calculations
Tax treatment
Superannuation contributions
Employment disputes
5. Acceptable Use
You agree not to:
Use the Services for unlawful purposes
Interfere with system security
Attempt unauthorised access
Reverse engineer or copy the software
Upload malicious code
Misuse payroll or employment data
We may suspend access for violations.
6. Software License
Keicho grants you a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms.
You may not:
Copy or distribute the software
Modify or create derivative works
Resell or sublicense access
Use the Services to build a competing product
All intellectual property rights remain the property of Keicho.
7. Service Availability
We aim to maintain reliable uptime but do not guarantee uninterrupted service.
We may:
Perform maintenance
Modify features
Update functionality
Suspend access for security reasons
We are not liable for temporary outages or technical disruptions.
8. Fees and Payments
Where Services are provided under a paid subscription:
Fees are due as agreed in writing
Failure to pay may result in suspension
Fees are non-refundable unless required by law
Subscription terms may be governed by a separate agreement between Keicho and the subscribing organisation.
9. Data Accuracy
Keicho provides tools to calculate payroll and workforce data based on information supplied by users and employers.
You acknowledge that:
Accuracy depends on data entered
Keicho does not guarantee compliance with specific industrial awards
Users must verify outputs before relying on them
10. Privacy
Your use of the Services is subject to our Privacy Policy.
Please refer to the Keicho Privacy Policy available on our website.
11. Third-Party Services
Keicho may integrate with third-party services including accounting platforms, payroll systems, cloud hosting providers, analytics tools, and mobile app infrastructure providers.
We are not responsible for third-party services or their privacy practices.
12. Limitation of Liability
To the maximum extent permitted by law, Keicho is not liable for:
Indirect or consequential loss
Loss of profits
Loss of data
Employment disputes
Payroll miscalculations resulting from incorrect input
Government penalties or compliance issues
Our total liability is limited to the fees paid for the Services in the preceding 12 months.
Nothing in these Terms excludes liability that cannot be excluded under applicable law.
13. Indemnity
You agree to indemnify and hold Keicho harmless from claims arising from:
Misuse of the Services
Breach of these Terms
Employment or payroll disputes
Inaccurate or unlawful data input
14. Termination
We may suspend or terminate access if:
You breach these Terms
Payment obligations are not met
We are required to do so by law
You may cease using the Services at any time.
Termination does not relieve payment obligations already incurred.
15. Mobile Application Terms
If you download the Keicho mobile app:
You agree to the terms of the Apple App Store or Google Play Store
Apple and Google are not responsible for the app’s content or operation
App permissions must be granted for certain features to function
16. Modifications to These Terms
We may update these Terms from time to time.
Updated versions will be published on our website with a revised effective date.
Continued use of the Services constitutes acceptance of the updated Terms.
17. Governing Law
These Terms are governed by the laws of Australia.
Any disputes will be subject to the jurisdiction of Australian courts.
